Veterinary Sidekick Terms of Use

1. Scope of Agreement

These Terms apply to:

• The Veterinary Sidekick website
• The Veterinary Sidekick web and mobile applications
• Any AI-powered clinical decision-support services
• Any related features, tools, documentation, training materials, software, and content (collectively, the "Services")

2. Acceptance of Terms

By accessing the Services, you represent and warrant that:

1. You are at least 18 years old
2. You have legal capacity to enter into this Agreement
3. You accept these Terms on behalf of yourself and, if applicable, your clinic or employer
4. You will ensure that all staff members using the Services comply with these Terms

We may modify these Terms at any time. Revised Terms will become effective upon posting. Your continued use of the Services constitutes acceptance of the updated Terms.

3. Description of Services

Veterinary Sidekick is an AI-supported veterinary clinical productivity platform that may include:

• Client intake forms
• Case history capture
• AI-generated clinical summaries
• Differential diagnosis suggestions
• Diagnostic recommendations
• Treatment plan suggestions
• Case reports and client-friendly summaries
• Clinic-branded output with mandatory attribution

You acknowledge and agree that:

• AI-generated outputs are advisory only
• Veterinary Sidekick does not provide medical care
• A licensed veterinarian must review, verify, and approve all clinical decisions

4. User Accounts

To access certain features, you must register an account. You agree to:

• Provide accurate and complete information
• Keep login credentials confidential
• Be responsible for all activities under your account
• Ensure each staff member uses a unique login (no shared accounts)

We may suspend or terminate accounts for misuse or security concerns.

5. Subscription and Billing

Veterinary Sidekick is a subscription-based SaaS platform.

5.1 Subscription Fees

Subscription fees are:

• Recurring
• Billed monthly or annually
• Based on number of veterinarian seats
• Non-refundable

5.2 Veterinarian Seat Licensing

Each actively practicing veterinarian must have their own licensed seat.

Technicians and support staff may not bypass veterinarian licensing rules.

5.3 Relief / Locum Veterinarians

Relief/locum veterinarians must:

• Maintain their own subscription or
• Be added as a temporary paid seat

No case may be assigned to an unsubscribed veterinarian.

5.4 Payment Authorization

You authorize us to:

• Automatically charge your payment method
• Continue recurring billing until canceled

Payment failures may result in account suspension.

6. Co-Branding Requirements

Veterinary Sidekick allows clinics to apply their branding within the platform, subject to the following rules:

6.1 Clinic Branding Allowed

Clinics may add:

• Clinic logo
• Clinic name
• Clinic brand colors (where supported)
• Branding on client-facing reports

6.2 Mandatory Attribution

All co-branded materials must display:

"Powered by Veterinary Sidekick"

This attribution:

• Must remain clear and legible
• May not be removed or obscured
• Must follow the placement and size rules defined by the Company

6.3 Prohibited Branding Actions

Clinics may NOT:

• Rebrand the platform as their own proprietary software
• Remove or modify the required attribution
• Imply ownership of the software
• Use the platform as a white-labeled solution
• Represent the Service as an internal clinic-developed tool

6.4 Revocation

We may revoke co-branding privileges if:

• Branding rules are violated
• Misrepresentation occurs
• Attribution is altered

Revocation may occur without terminating access to the underlying Services.

7. User Responsibilities & Prohibited Conduct

Users may NOT:

• Misrepresent clinical credentials
• Use the Services to violate veterinary practice laws
• Attempt to reverse engineer the platform
• Scrape or extract significant portions of the system
• Circumvent veterinarian seat licensing
• Upload harmful or unlawful content
• Interfere with platform functionality

8. Data Ownership and Usage

8.1 Clinic Data Ownership

Clinics retain ownership of:

• Patient medical records
• Client-submitted information
• Uploaded files
• Diagnostic images
• Case history and treatment details

8.2 License to the Company

You grant the Company a limited license to:

• Process and store data for operational purposes
• Use anonymized data to improve Services
• Train and enhance system algorithms in anonymized form

We do not sell identifiable user data.

8.3 Accuracy

You are responsible for verifying the accuracy of all data entered or uploaded.

9. Intellectual Property

Sidekick Automations, LLC owns all rights to:

• The Veterinary Sidekick platform
• Software, source code, architecture, and algorithms
• AI models
• User interface and design
• Logos, trademarks, and trade dress
• Generated case formats and output templates

No intellectual property rights are transferred to you.

You agree not to:

• Copy, modify, or create derivative works
• Reproduce the platform
• Develop competing software using insights from Veterinary Sidekick

10. AI Output Disclaimer

Veterinary Sidekick may generate:

• Differential diagnoses
• Diagnostic recommendations
• Treatment suggestions
• Client summaries
• Case reports

These outputs are:

• Advisory
• Not medical directives
• Not a replacement for veterinary expertise
• Subject to veterinarian review and approval

You acknowledge full responsibility for clinical decisions.

11. Service Availability

We do not guarantee:

• Uninterrupted service
• Error-free functionality
• Compatibility with all devices
• Permanent data availability

We may modify or discontinue features at any time.

12. Termination

We may suspend or terminate access if:

• Subscription payments fail
• Users violate these Terms
• Co-branding rules are violated
• Security incidents occur
• Fraud or misrepresentation is detected

Upon termination:

• Your right to access the Services ends immediately
• Data retention follows our data retention policy
• You remain responsible for unpaid fees

13. Limitation of Liability

To the maximum extent permitted by law:

Sidekick Automations, LLC is not liable for:

• Indirect, incidental, consequential, exemplary, or punitive damages
• Loss of data, profits, business, or goodwill
• Clinical decision errors
• Unauthorized access to your account
• Third-party service failures

Our maximum liability is limited to the fees you paid in the 12 months prior to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Sidekick Automations, LLC from any claims arising from:

• Misuse of the Services
• Violation of these Terms
• Improper clinical decisions
• Data or content you upload
• Violation of co-branding rules
• Use by unauthorized individuals

15. Governing Law

These Terms are governed by the laws of the State of Texas.

Venue for all disputes lies exclusively in Rockwall County, Texas.

16. Electronic Communications

By using the Services, you consent to electronic communication, including:

• Emails
• In-app notifications
• Website postings

These communications satisfy any legal notification requirements.

17. Entire Agreement & Miscellaneous

• These Terms constitute the entire agreement between you and Sidekick Automations, LLC
• If any provision is invalid, the remainder remains enforceable
• You may not assign your rights; we may assign ours
• No waiver of a right constitutes waiver of future rights
